1. Agreement to Terms

By accessing and using Vortex-Support's website and services, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our services.

3. Service Agreements

All services will be provided according to a separate Statement of Work (SOW) or Service Agreement that defines:

  • Pricing, payment terms, and schedule
  • Roles and responsibilities of both parties
  • Acceptance criteria and completion milestones

3.2 Changes to Scope

Any changes to the agreed scope of work must be documented in writing and approved by both parties before implementation.

4. Client Responsibilities

Clients agree to:

  • Provide accurate and complete information necessary for service delivery
  • Grant appropriate access to systems, data, and personnel as required
  • Respond promptly to requests for information or approvals
  • Maintain current backups of all critical data
  • Comply with all applicable laws and regulations
  • Make timely payments according to agreed terms

5. Payment Terms

5.1 Fees and Expenses

Clients agree to pay all fees as outlined in the applicable Service Agreement. Payment terms typically include:

  • Net 30 payment terms unless otherwise specified
  • Late payment fees of 1.5% per month on overdue amounts
  • Reimbursement of reasonable expenses when pre-approved

5.2 Suspension of Services

We reserve the right to suspend services for non-payment after 30 days written notice.

6. Intellectual Property

6.1 Client Data and Systems

Clients retain all rights to their data, systems, and pre-existing intellectual property.

6.2 Vortex-Support IP

We retain all rights to our methodologies, tools, templates, and pre-existing intellectual property used in service delivery.

6.3 Work Product

Rights to work product created specifically for a client will be addressed in the applicable Service Agreement.

7. Confidentiality

Both parties agree to maintain strict confidentiality regarding:

  • All confidential and proprietary information
  • Business strategies and operations
  • Technical specifications and system details
  • Financial information and pricing
  • Personal data and customer information

8. Data Security and Privacy

We are committed to protecting client data through:

  • Implementation of industry-standard security measures
  • Compliance with applicable data protection regulations
  • Regular security assessments and updates
  • Incident response and breach notification procedures
  • Staff training on data protection practices

9. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability for any claim shall not exceed the fees paid for the specific service giving rise to the claim
  • We shall not be liable for indirect, incidental, or consequential damages
  • We shall not be liable for damages resulting from third-party actions or force majeure events
  • Clients must notify us of any claims within 30 days of discovery

10. Warranties and Disclaimers

10.1 Service Warranty

We warrant that services will be performed in a professional manner consistent with industry standards.

10.2 Disclaimers

Except as expressly stated, all services are provided "as is" without warranty of any kind, express or implied.

11. Termination

11.1 Termination for Convenience

Either party may terminate a service agreement with 30 days written notice.

11.2 Termination for Cause

Either party may terminate immediately for material breach that remains uncured after 10 days written notice.

11.3 Effect of Termination

Upon termination, each party will return confidential information and pay all outstanding fees for services performed.

12. Force Majeure

Neither party shall be liable for delays or failures in performance due to circumstances beyond their reasonable control, including natural disasters, pandemics, government actions, or network failures.

13. Governing Law and Disputes

These Terms are governed by the laws of [State/Country]. Any disputes will be resolved through binding arbitration or in the courts of [Jurisdiction].
